Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of AcadyLearn ("we", "us", or "our"), including the website acadylearn.com and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use AcadyLearn. By using the Service you represent that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@acadylearn.com if you suspect unauthorized access.

You may not share your account, create accounts via automated means, or register accounts under false identities.

4. Subscription Plans & Billing

4.1 Free Plan

AcadyLearn offers a free tier with limited document uploads and quiz generations per month. Free plan limits are subject to change with reasonable notice.

4.2 Paid Plans

Paid subscriptions (Plus, Pro) are billed monthly or annually via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for mid-period cancellations.

4.4 Refunds

Refund requests within 7 days of initial purchase may be granted at our discretion. Contact support@acadylearn.com to request a refund.

4.5 Price Changes

We may change subscription prices with at least 30 days' notice. Continued use after the effective date of a price change constitutes acceptance.

5. Your Content

You retain ownership of the documents and files you upload ("Your Content"). By uploading content, you grant AcadyLearn a limited, non-exclusive license to process, store, and transmit Your Content solely to provide the Service to you.

You represent that you have the right to upload Your Content and that it does not violate any third-party rights, including copyright or privacy rights.

We do not use Your Content to train AI models. Your Content is processed exclusively to generate study materials for your personal use.

6. Acceptable Use

You agree not to:

Upload content that is illegal, harmful, abusive, or infringes third-party rights
Attempt to reverse-engineer, decompile, or extract the source code of the Service
Use automated scripts or bots to access the Service in ways that circumvent usage limits
Resell or sublicense access to the Service without written permission
Interfere with or disrupt the integrity or performance of the Service
Use the Service to generate or distribute misleading academic work (e.g., academic dishonesty)

We reserve the right to suspend or terminate accounts that violate these restrictions.

7. Intellectual Property

The Service, including its design, code, branding, and AI-generated study materials (quizzes, flashcards, summaries), is owned by or licensed to AcadyLearn. Nothing in these Terms transfers ownership of our intellectual property to you.

AI-generated content produced by the Service using your uploaded documents is provided to you for your personal study use. You may not resell or redistribute it at scale.

8. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Supabase (authentication), OpenAI (AI generation), and Cloudflare R2 (storage). Your use of those services is also subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

9. Availability & Modifications

We aim for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after the effective date constitutes acceptance.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

AI-generated quizzes and flashcards may contain errors. You are responsible for independently verifying any study material before relying on it for academic purposes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACADYLEARN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $50.

12. Indemnification

You agree to indemnify and hold harmless AcadyLearn and its affiliates, officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Delaware.
